‍These Terms (“Terms”) are a binding agreement between UKB Marketing Ltd (“UKB Marketing”, “UKB”,  “us”, “we” or “our”) and (ii) the natural persons or entity (“you”) accessing and using publicly accessible portions of the www.smartleadflow.com website (the “Site”) as well as those registering for use of the Smart Lead Flow platform (“Services”).

Payment

‍Payment for the Services is based on the term and payment period you elect based on our subscription packages.Fees indicated on the Site are net prices and may be subject to applicable tax.Fee for the Services is due at the beginning of the agreed contract period stated on an invoice we will provide.UKB Marketing will send its first invoice by email to the email address you provided during registration. Subsequent invoices are stored and may be retrieved from your account upon request at support@smartleadflow.com.You agree to pay for the Services in the amounts and using the method and frequency of payment you select during registration for the Service.Payment for Services is due in advance at the beginning of each Service period.If we cannot process your payment, we may terminate your access to the Services. We reserve the right to transfer outstanding receivables to an external debt collector.You authorise us and our agents to debit or credit the method of payment for our fees and third-party fees.

Your Obligations

‍You must maintain accurate account information on the Site, including, without limitation, address, telephone number, e-mail address, and updated payment card information.You must ensure your login credentials remain confidential, and immediately notify UKB Marketing upon discovery that an unauthorised party has accessed them.You are solely responsible for all activity under your account or log-in, and all payments authorised through your account or log-in.You must ensure you are accessing the Site and Services using the latest version of the browsers Mozilla Firefox, Google Chrome, Apple Safari, or Microsoft Edge. The Site may not be accessible by older versions, and by other browsers.

Create a false identity to mislead others or impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity;

Register, subscribe, attempt to register, attempt to subscribe, or unsubscribe, any party for any products or services if you are not authorised by such party to do so;

Upload or transmit any material you have no right to reproduce, display or transmit;

Upload files containing viruses, Trojan horses, worms, time bombs, cancel-bots, or corrupted files, or anything that may damage the operation of another's computer or property;Violate any local, state, national or international law; or

Use any robot, spider, scraper, or other automated or manual means to access the site or Services or copy any content or information.

We reserve the right to prohibit access, use, conduct, communication, or content we, in our sole discretion, deem harmful to the Site, Services, users, us, our brand, or any other person or entity, or that violates these Terms or law.

Unauthorised use of the Site or Services automatically terminates your licence.

Submissions

‍You are solely responsible for any information, content, or material you transmit to or through the Site or otherwise to us (“Submission”). UKB Marketing takes no responsibility and assumes no liability for any Submission. Except for personal information we may collect from you under the guidelines established in our Privacy Policy, Submissions are considered non-confidential and non-proprietary.

You grant UKB Marketing an unrestricted, irrevocable, perpetual, transferable, sub licensable, worldwide, royalty-free licence to use, copy, remove from the Site, reproduce, display, publish, transmit, and distribute any Submission, without compensation or accounting to you or any other third party. You represent and warrant that: (a) you may submit the Submission to UKB Marketing and grant the licences; (b) UKB Marketing will not need to obtain licences from or pay royalties to any third party for use of the Submission; (c) the Submission infringes no third party rights, including intellectual property and privacy rights; and (d) the Submission complies with these Terms and all laws and regulations.

UKB Marketing shall not be liable for any delays or failure in performance of any part of the Site or Services for any cause beyond UKB Marketing’s reasonable control.

These Terms, along with the ordering documents on the Site, constitute the entire agreement between UKB Marketing and you regarding your use of the Site and the Services and supersede all previous written or oral agreements relating to the subject. Modification of these Terms must be in writing signed by both parties.
